This document is a legally binding Website Terms of Service ("Terms"). It governs access to and use of PhoenixX websites, digital properties, content and services.

1. Legal Agreement and Acceptance

These Terms govern access to PhoenixX websites and services provided under the domains owned or operated by Agency PhoenixX LLC ("PhoenixX"). By accessing or using www.PhoenixX.one or any PhoenixX web interface, you acknowledge and agree to these Terms. If you do not agree, you must discontinue use immediately. Unauthorized or unlawful access is strictly prohibited and subject to enforcement.

2. Scope of Application

These Terms apply to: (a) www.PhoenixX.one, (b) all PhoenixX-owned subdomains, (c) platform landing pages, (d) documentation and legal pages, (e) future PhoenixX web applications and interfaces. These Terms apply to both human and automated access, including bots, crawlers, AI agents, and scripted systems.

3. Prohibited Use and Unauthorized Conduct

No person or system may use PhoenixX websites to engage in unlawful activity, credential attacks, denial-of-service activity, contractual evasion, data exfiltration or interference with PhoenixX infrastructure. PhoenixX reserves enforcement authority under PHX-REA-1.0 (Risk Enforcement & Account Actions Policy) for security violations.

4. Anti-Scraping, Anti-Bot and Access Control Policy

PhoenixX strictly prohibits data scraping, content harvesting, automated extraction, model training from PhoenixX content, or bulk downloading without written authorization. Unauthorized automated access, including bots, scrapers, indexing engines or AI model collectors, is prohibited. PhoenixX may implement IP blocking, rate limiting, legal notices and blacklisting enforcement under SCRAPE3 authority.

5. Intellectual Property Rights

All content available on PhoenixX websites, including text, graphics, system logic, documentation, compliance frameworks, architectural descriptions, AI training concepts, trade names, trade secrets and proprietary methods are the exclusive property of PhoenixX. No intellectual property rights are transferred through website access. Unauthorized use, reproduction, redistribution, mirroring, training of AI models on PhoenixX content or derivative use is strictly prohibited.

6. License Restrictions

PhoenixX grants a limited, non-transferable, revocable license to access www.PhoenixX.one for lawful informational purposes only. No license is granted to commercially exploit, resell, automate, extract, analyze, reverse engineer or reproduce PhoenixX intellectual property or data. Any attempt to obtain unauthorized access or bypass controls terminates this license automatically.

7. User Content and Submissions

Any content voluntarily submitted to PhoenixX through website forms, contact interfaces or user submissions must be lawful and accurate. PhoenixX may retain submission data and use it to respond to inquiries, enforce compliance or improve service. Unsolicited idea submissions do not create confidentiality obligations, and PhoenixX retains unrestricted rights to use such submissions unless otherwise agreed in writing.

8. Security and Access Integrity

PhoenixX implements security measures to protect its websites. Users must not engage in credential attacks, vulnerability scanning, bypassing access controls, reverse engineering, malware injection, session hijacking or automated exploitation. Security testing requires prior written authorization from PhoenixX.

9. Compliance with Laws

Users must access PhoenixX websites in compliance with applicable laws, including data protection laws, sanctions laws, export control regulations and intellectual property laws. PhoenixX reserves enforcement authority and may disable access for any violation.

10. Third-Party Links and External Services

PhoenixX websites may contain links to third-party websites. PhoenixX is not responsible for third-party content, privacy practices or security. Access to third-party links is at the user’s own risk. PhoenixX does not endorse or warrant any third-party services.

11. Privacy and Data Use

Use of the PhoenixX website is also governed by the PhoenixX Privacy Policy (PHX-DP-1.0) and Cookie Policy (PHX-CP-1.0). By using this website, you acknowledge that PhoenixX may process limited technical data for security, fraud prevention and analytics purposes. PhoenixX does not sell Personal Data.

12. Disclaimer of Warranties

PhoenixX websites and content are provided on an "as-is" and "as-available" basis without warranties of any kind. PhoenixX does not guarantee uninterrupted access, accuracy of information, compatibility, fitness for a particular purpose or that the website will be free of errors or harmful components. Use of PhoenixX websites is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, PhoenixX shall not be liable for any indirect, incidental, consequential, punitive or special damages, including loss of data, revenue, business interruption or reputational damage arising from website use. PhoenixX’s total liability for any claim related to website usage shall not exceed one hundred US dollars (USD 100).

14. Indemnification

You agree to indemnify and hold PhoenixX harmless from any claims, losses, damages, liabilities, costs or expenses arising from misuse of the website, breach of these Terms, violation of law or infringement of PhoenixX intellectual property.

15. Enforcement and Termination

PhoenixX may suspend or terminate website access at any time to protect security, enforce compliance or prevent abuse. PhoenixX may block IP addresses, automated agents and malicious entities under PHX-REA-1.0 (Risk Enforcement Policy).

16. Changes to Terms

PhoenixX may update these Terms as necessary for legal or operational reasons. Continued use of the website constitutes acceptance of the latest version.

17. Governing Law

These Terms are governed by Swiss substantive law, excluding its conflict of law principles.

18. Arbitration and Dispute Resolution

Any dispute arising in connection with website access or these Terms shall be resolved by binding arbitration in Zurich, Switzerland under the Swiss Rules. PhoenixX may seek emergency injunctions for IP protection, scraping prevention and security enforcement.

Approval and Enforcement

This Website Terms of Service – PHX-WTOS-1.0 is binding and enforceable across all PhoenixX web properties. Unauthorized access, scraping, exploitation or misuse of PhoenixX Systems constitutes a breach of these Terms and may trigger enforcement under PHX-REA-1.0 (Risk Enforcement & Account Actions Policy).
